COOKED BY CONTE LLC TERMS OF SERVICE

1. Company Identity & Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website www.cookedbyconte.com, any associated client portals, payment links, checkout systems, and all in-home chef, meal preparation, and culinary support services provided by Cooked By Conte LLC, a California limited liability company (“Cooked By Conte,” “Company,” “we,” “us,” or “our”).
By accessing our website, creating an account, placing an order, scheduling services, submitting a menu, storing a payment method, or permitting a Cooked By Conte chef to enter your home or facility, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
You represent and warrant that you are at least eighteen (18) years of age, have the legal authority to enter into a binding agreement, and are using the Services for lawful purposes only.
If you do not agree to these Terms, you may not access or use our Services.
2. Nature of Services & Employment Relationship
Cooked By Conte LLC is a direct in-home culinary service provider, not a marketplace, referral service, or technology platform. When you schedule services with Cooked By Conte, you are contracting directly with Cooked By Conte LLC for the performance of those services.
All chef services are performed by:

W-2 employees of Cooked By Conte LLC, or
-
The owner of Cooked By Conte LLC, acting on behalf of the Company.
Cooked By Conte LLC is the sole employer of record and is responsible for hiring, training, supervision, scheduling, payroll, payroll taxes, and workers’ compensation coverage. No employment, contractor, joint venture, agency, or partnership relationship is created between any client and any chef.
Cooked By Conte may assign any qualified chef to perform scheduled services at its sole discretion. While we strive to accommodate preferences, chef assignment is not guaranteed and may change due to availability, scheduling, or operational needs.
3. Accounts, Client Responsibilities & Access
To access certain features of the Services, you may be required to create a client account (“Account”). You agree to provide accurate, current, and complete information and to promptly update your Account information if it changes.
You are responsible for:

Maintaining the confidentiality of your login credentials

Ensuring that your contact and payment information remains accurate and current
-
All activity, charges, and communications conducted through your Account
You agree not to share your Account credentials with any unauthorized person. Cooked By Conte is entitled to rely on all instructions, approvals, and transactions made through your Account as authorized by you.
Cooked By Conte reserves the right to suspend or restrict access to any Account that contains inaccurate information, poses a security risk, or violates these Terms.
4. Fees, Payments & Grocery Reimbursement
Service Fees
All chef services provided by Cooked By Conte LLC are priced and disclosed prior to scheduling. Service fees must be paid in full in advance of the scheduled service date unless otherwise expressly agreed in writing by Cooked By Conte.
By scheduling services, you authorize Cooked By Conte to charge the service fee displayed at checkout or agreed upon in writing.
Grocery Shopping & Reimbursement
As part of the Services, the assigned chef will shop for groceries on your behalf in preparation for your scheduled service.
Grocery costs are separate from service fees and are not included in the service price.
You agree that:

Grocery purchases are made specifically for your scheduled service

Grocery reimbursement is due after service completion
-
Grocery reimbursement will be:
-
Automatically charged to the card on file, if one is available, or
-
Invoiced via payment link or client account, payable within twenty-four (24) hours
Card-on-File Authorization
By storing a payment method or completing checkout, you expressly authorize Cooked By Conte to charge your payment method for:
-
Approved service fees
-
Grocery reimbursement incurred on your behalf
-
Fees arising under these Terms, including late cancellations or outstanding balances
This authorization applies whether the charge is initiated through checkout, stored payment method, invoice, or payment link.
Non-Payment & Service Suspension
If grocery reimbursement or any outstanding balance is not paid within the required timeframe:
-
Future services will be paused or suspended
-
No additional service dates will be performed
-
Outstanding balances remain due and payable
Cooked By Conte is not obligated to perform additional services until all outstanding balances are paid in full.
Taxes & Additional Charges
You are responsible for any applicable sales tax, use tax, or government-imposed fees related to the Services, where applicable by law.
5. Automatic Renewal & Recurring Services Disclosure
Certain Cooked By Conte LLC services are offered on a recurring basis, including weekly, bi-weekly, or other ongoing in-home meal preparation services (“Recurring Services”).
By enrolling in a Recurring Service, you acknowledge and agree that your service relationship with Cooked By Conte is ongoing until paused or canceled, and that recurring labor capacity and scheduling priority are reserved for you based on your selected service frequency.
How Recurring Services Operate
Recurring Services are service-based reservations, not product shipments.
For each scheduled service period, you are expected to:

Submit your menu selections by the required deadline, or
-
Notify Cooked By Conte that you are skipping service for that period
Failure to submit menus or notify a skip does not automatically cancel your Recurring Service.
Payment Authorization for Recurring Services
By enrolling in Recurring Services and maintaining a payment method on file, you expressly authorize Cooked By Conte to:

Charge your payment method for each scheduled service period once the cancellation window has passed
-
Charge grocery reimbursement incurred after service completion
-
Charge fees authorized under these Terms
Charges occur only for services that are scheduled and performed, or where cancellation occurs outside the permitted notice period.
Cancellation & Skip Requirements
You may pause, skip, or cancel Recurring Services by:
-
Logging into your client account, or
-
Contacting Cooked By Conte in writing
All cancellations or skips must be submitted at least seventy-two (72) hours prior to the scheduled service date.
Requests submitted inside the 72-hour window are subject to the cancellation and payment terms set forth in these Terms.
No Silent Renewals
Cooked By Conte does not engage in silent, hidden, or surprise renewals.
Recurring charges occur only when:

A service date is scheduled, and
-
The cancellation window has passed without timely notice
California Automatic Renewal Law Compliance
This section is intended to comply with California Business & Professions Code §§ 17600–17606, including clear and conspicuous disclosure of:

The recurring nature of the Services
-
The amount and frequency of charges
-
How to cancel, pause, or skip services
By enrolling in Recurring Services, you affirm that you have reviewed and agreed to these terms.
6. Cancellation, Rescheduling & Refund Policy
Standard Cancellation Policy
All scheduled services are subject to a seventy-two (72) hour cancellation policy.
Cancellations or rescheduling requests submitted more than 72 hours prior to the scheduled service date may be eligible for a refund or credit at Cooked By Conte’s sole discretion.
Cancellations or rescheduling requests submitted within 72 hours of the scheduled service date are non-refundable.
Late Cancellations & Grocery Purchases
If a cancellation or rescheduling request is made within 72 hours of the scheduled service date:

The full service fee will be charged
-
All grocery costs already incurred will be charged
-
Grocery reimbursement remains due even if the service does not proceed
Grocery purchases are made specifically for your scheduled service and are not reusable or refundable once purchased.
Emergencies & Discretion
Cooked By Conte understands that emergencies may arise and strives to act with compassion where possible. However, any exception, credit, or accommodation is not guaranteed and does not waive the Company’s right to enforce these Terms when costs or labor commitments have been incurred.
No Retroactive Adjustments
Failure to submit menus, respond to communications, or prepare for a scheduled service does not constitute a valid cancellation and does not entitle you to a refund.
7. Chargebacks, Payment Authorization & Dispute Defense
Authorized Transactions
By placing an order, scheduling services, enrolling in recurring services, storing a payment method, or accepting an invoice or payment link, you expressly authorize Cooked By Conte LLC to charge your payment method for:

Service fees
-
Grocery reimbursement incurred on your behalf
-
Late cancellation fees
-
Outstanding balances owed under these Terms
You acknowledge that such charges are authorized transactions and agree not to dispute them as unauthorized or fraudulent.
No Chargebacks for Rendered or Reserved Services
You agree that once any of the following occur, the associated charges are non-reversible and not eligible for chargeback:

A chef has been dispatched or scheduled
-
Groceries have been purchased
-
Services have been performed
-
The cancellation window has passed without notice
Disputes based on subjective dissatisfaction, change of plans, failure to consume prepared food, scheduling conflicts, or failure to submit menus do not constitute valid grounds for chargebacks.
Required Internal Dispute Process
Before initiating any chargeback or payment dispute, you agree to:

Allow at least seven (7) business days for review and resolution
Initiating a chargeback without following this process constitutes a breach of these Terms.
Chargeback Abuse & Recovery of Fees
Cooked By Conte reserves the right to:

Suspend or terminate accounts associated with excessive or abusive chargebacks
-
Require alternative payment methods or advance payment
-
Recover disputed amounts, chargeback fees, and administrative costs
You authorize Cooked By Conte to charge such amounts to the payment method on file or pursue lawful collection remedies.
Evidence Acknowledgment
You acknowledge and agree that the following constitute valid evidence of authorization and service delivery in connection with any payment dispute:

Acceptance of these Terms of Service

Online checkout confirmations and order receipts

Stored payment method authorization
-
Invoices, payment links, and timestamps

Service scheduling records and logs
-
Grocery purchase receipts
-
Written communications regarding service, menus, scheduling, or cancellation
You agree that Cooked By Conte may submit this information to payment processors, card networks, or issuing banks in connection with any dispute.

You agree that Cooked By Conte may submit this information to payment processors, card networks, or issuing banks in connection with any dispute.
8. Shopify Payments & Stripe Processing Compliance
Cooked By Conte LLC processes payments through Shopify Payments, which may utilize Stripe and other affiliated payment processors (“Payment Processors”) to complete transactions.
By completing checkout, storing a payment method, accepting an invoice, or paying via payment link, you acknowledge and agree that your transactions are processed in accordance with the policies, rules, and requirements of the applicable Payment Processors.
Transaction Authorization & Processor Evidence
You expressly authorize Cooked By Conte to submit the following information to Payment Processors, card networks, and issuing banks as evidence in the event of a dispute, chargeback, or inquiry:

Checkout confirmations and order receipts

Stored payment method authorizations
-
Invoices, payment links, and timestamps

Service schedules and service logs
-
Grocery purchase receipts
-
Communications regarding service details, menus, cancellations, or skips
You acknowledge that such records constitute valid proof of authorization and service delivery under Payment Processor and card network rules.
Processor Fees & Dispute Costs
In the event of a payment dispute or chargeback, you agree that Cooked By Conte may recover:

The disputed transaction amount
-
Any dispute, retrieval, or chargeback fees assessed by Payment Processors
-
Administrative costs incurred in responding to disputes
These amounts may be charged to the payment method on file or pursued through lawful collection methods.
Risk Management & Payment Restrictions
To maintain compliance with Shopify Payments and Stripe risk thresholds, Cooked By Conte reserves the right to:

Require alternative payment methods
-
Disable stored payment methods
-
Require advance payment or deposits
-
Suspend accounts associated with elevated dispute risk
Such measures do not waive any outstanding payment obligations.
Processor Policies
Payment processing is additionally subject to the applicable terms and policies of Shopify Payments and Stripe. In the event of a conflict, processor rules govern transaction processing, while these Terms govern the service relationship and client obligations.
9. SDP / Regional Center Service Addendum
This SDP / Regional Center Service Addendum (“Addendum”) supplements and is incorporated into these Terms of Service. This Addendum applies to clients receiving services funded in whole or in part through:

California Self-Determination Program (SDP)
-
Regional Centers
-
Financial Management Services (“FMS”) providers
By scheduling or receiving services through SDP or Regional Center funding, you agree to this Addendum in addition to the Terms.
No Guarantee of Authorization or Payment
Cooked By Conte LLC does not guarantee:

Regional Center authorization or approval
-
SDP budget availability
-
FMS payment timelines
-
Reimbursement eligibility
All services are performed at the client’s request. Any unpaid balance remains the sole responsibility of the client or the client’s authorized representative, regardless of funding source.
Client Financial Responsibility
You acknowledge and agree that:

Delays, denials, or administrative issues with SDP, Regional Centers, or FMS providers do not excuse payment
-
Grocery reimbursement is never covered by SDP or Regional Center funding and is always the client’s responsibility
-
Any portion of service fees not paid by an FMS provider remains immediately due and payable by the client
Cooked By Conte may suspend or pause services until outstanding balances are resolved.
Billing, Documentation & Cooperation
Cooked By Conte will provide invoices, service logs, and receipts reasonably required for SDP or FMS billing. However:

Cooked By Conte is not responsible for submitting documents to FMS providers unless separately agreed in writing
-
The client is responsible for ensuring compliance with SDP, Regional Center, and FMS requirements
No Third-Party Beneficiaries
Nothing in these Terms or this Addendum creates:
-
A contractual relationship between Cooked By Conte and any Regional Center or FMS provider
-
Any third-party beneficiary rights
-
Any obligation beyond services actually performed
All contractual obligations exist solely between Cooked By Conte LLC and the client.
Service Continuity & Funding Changes
Cooked By Conte reserves the right to:

Modify service frequency
-
Require prepayment
-
Pause or discontinue services
If SDP authorization lapses, funding changes, invoices remain unpaid, or continued service presents administrative or financial risk.
10. Food Safety, Allergies & Home Conditions
Allergy & Dietary Disclosure
You acknowledge that food preparation involves inherent risks, including the risk of allergic reactions and foodborne illness.
You are solely responsible for disclosing all food allergies, dietary restrictions, sensitivities, and medical considerations in writing prior to each service. Cooked By Conte relies entirely on the information you provide and is not responsible for undisclosed or inaccurately disclosed conditions.
Food Handling & Storage After Service
Cooked By Conte prepares food in your kitchen using ingredients selected for your scheduled service. Once the chef has completed the service and departed:

Responsibility for food storage, reheating, handling, and consumption transfers entirely to you
-
Cooked By Conte is not responsible for food quality, safety, spoilage, contamination, or illness occurring after service completion
You agree to follow safe food handling and storage practices after service.
Home Environment & Equipment
You are responsible for providing a safe, sanitary, and functional kitchen environment, including:

Properly working appliances
-
Safe flooring and walkways
-
Adequate lighting and ventilation
-
A reasonably clean and hazard-free workspace
Cooked By Conte is not responsible for injuries, damages, or service interruptions caused by unsafe home conditions, malfunctioning equipment, or undisclosed hazards.
Inherent Risks Acknowledgment
By permitting a Cooked By Conte chef to perform services in your home or facility, you acknowledge and accept the inherent risks associated with in-home food preparation and agree that Cooked By Conte shall not be liable for outcomes arising from conditions beyond its reasonable control.
11. Insurance Disclosure
Cooked By Conte LLC maintains the following insurance coverage in accordance with applicable law and industry standards:

Workers’ Compensation Insurance for W-2 employees
-
General Liability Insurance
-
Professional Liability Insurance
-
Hired & Non-Owned Automobile (HNOA) Insurance
These policies apply only to covered activities performed by Cooked By Conte employees acting within the course and scope of their employment.
Coverage Limitations
You acknowledge and agree that Cooked By Conte’s insurance coverage:

Does not cover client-owned property, appliances, or equipment
-
Does not cover food storage, reheating, or handling after service completion
-
Does not replace or extend your homeowner’s, renter’s, or business insurance
-
Does not cover unsafe home conditions or undisclosed hazards
Cooked By Conte makes no representation that its insurance will cover any particular loss or incident involving client property or post-service food consumption.
Client Insurance Responsibility
You are solely responsible for maintaining any insurance necessary to protect your home, property, and occupants, including homeowner’s, renter’s, or business insurance as applicable.
12. Intellectual Property & Brand Ownership
All content, materials, and intellectual property made available through Cooked By Conte LLC, including but not limited to:

Website content
-
Menus, recipes, and meal descriptions
-
Text, graphics, logos, photographs, and branding
-
Client-facing documents, forms, and service materials
are owned by or licensed to Cooked By Conte LLC and are protected by applicable U.S. and international copyright, trademark, and intellectual property laws.
All content, materials, and intellectual property associated with Cooked By Conte LLC, including but not limited to menus, recipes, meal plans, written content, photographs, branding, logos, service descriptions, training materials, processes, techniques, workflows, and proprietary methods (collectively, “Intellectual Property”), are the exclusive property of Cooked By Conte LLC.
Clients are granted a limited, non-exclusive, non-transferable right to consume and enjoy meals prepared as part of the Services. This limited right does not include any license or permission to reproduce, document, distribute, publish, teach, commercialize, resell, or otherwise exploit Cooked By Conte’s recipes, menus, or methods.
Recipes, menu compositions, ingredient combinations, preparation techniques, and meal structures used or provided by Cooked By Conte are proprietary and may not be copied, shared, recorded, or used for commercial or instructional purposes without prior written consent.
Nothing in these Terms transfers ownership of any Intellectual Property to the client. Unauthorized use, reproduction, or distribution of Cooked By Conte Intellectual Property is strictly prohibited.
Limited License
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Cooked By Conte materials solely for personal or internal use in connection with receiving the Services.
You may not copy, reproduce, distribute, modify, publish, display, or exploit any Cooked By Conte intellectual property for commercial purposes without prior written consent.
Trademarks
“Cooked By Conte,” associated logos, and all related branding are proprietary trademarks of Cooked By Conte LLC and may not be used without express written authorization.
Feedback
Any feedback, suggestions, ideas, or recommendations you provide to Cooked By Conte may be used by the Company without restriction or obligation, and you waive any rights to compensation or attribution for such feedback.
13. Limitation of Liability & Damages
Limitation of Damages
To the maximum extent permitted by applicable California law, Cooked By Conte LLC, its members, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

Loss of profits or revenue
-
Loss of use or enjoyment
-
Loss of data
-
Loss of business opportunities
-
Personal inconvenience
arising out of or relating to your use of the Services, even if Cooked By Conte has been advised of the possibility of such damages.
Maximum Aggregate Liability
To the fullest extent permitted by law, the total aggregate liability of Cooked By Conte LLC for any claim, dispute, or cause of action arising out of or relating to these Terms or the Services shall not exceed:

The total amount paid by you to Cooked By Conte for the specific service giving rise to the claim, or
-
One hundred dollars ($100)
whichever is less.
Basis of the Bargain
You acknowledge and agree that the limitations of liability set forth in this Section are a material and essential basis of the bargain between you and Cooked By Conte LLC, and that the Services would not be provided without such limitations.
Exceptions
Nothing in these Terms limits liability for:

Gross negligence
-
Willful misconduct
-
Liability that cannot be excluded or limited under California law
14. Arbitration (Consumers) & Court (Collections)
Binding Arbitration for Consumer Disputes
Except as expressly stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services provided by Cooked By Conte LLC shall be resolved by binding arbitration, rather than in court.
Arbitration shall be:

Conducted in the State of California
-
Administered by the American Arbitration Association (AAA)
-
Governed by the AAA’s Consumer Arbitration Rules in effect at the time the arbitration is initiated
The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms.
Waiver of Jury Trial
By agreeing to arbitration, you waive the right to a trial by jury and to participate in a class action or representative proceeding, to the fullest extent permitted by law.
Arbitration shall be conducted on an individual basis only. Class arbitrations and class actions are not permitted.
Court Proceedings for Collections
Notwithstanding the foregoing, Cooked By Conte LLC retains the right to pursue court action for:

Collection of unpaid balances
-
Grocery reimbursement
-
Chargeback recovery
-
Enforcement of payment obligations
Such actions may be brought in a court of competent jurisdiction located in Los Angeles County, California.
Injunctive Relief
Nothing in this Section prevents Cooked By Conte from seeking injunctive or equitable relief in court to prevent misuse of its intellectual property, fraud, or unauthorized use of the Services.
Governing Law
This Section and any arbitration or court proceeding shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
15. Termination & Suspension of Services
Client-Initiated Termination
You may terminate your Account or discontinue Services at any time by contacting Cooked By Conte LLC or using available account tools. Termination requests do not affect:

Services already scheduled within the cancellation window
-
Outstanding balances
-
Grocery reimbursement incurred on your behalf
All payment obligations accrued prior to termination remain due and payable.
Company-Initiated Suspension or Termination
Cooked By Conte LLC reserves the right, at its sole discretion, to suspend or terminate Services or Account access, with or without notice, if:

Payment obligations are not met
-
Required information (menus, disclosures, access) is not provided
-
There is suspected fraud, misuse, or chargeback abuse
-
Continued service presents operational, safety, or financial risk
-
The client violates these Terms
Suspension or termination does not waive the Company’s right to collect outstanding amounts.
Effect of Termination
Upon termination or suspension:

Future services will be canceled
-
Outstanding balances remain enforceable
-
Sections of these Terms that by their nature should survive termination (including payment obligations, limitation of liability, arbitration, and indemnification) shall remain in effect
16. Governing Law, Notices & General Provisions
Governing Law
These Terms of Service and any dispute arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.
Notices & Electronic Communications
By using the Services or communicating with Cooked By Conte LLC electronically, you consent to receive communications from us in electronic form, including email, text message, or notices posted through your account.
You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations without the prior written consent of Cooked By Conte LLC. Any attempted assignment in violation of this provision is void.
Cooked By Conte LLC may assign these Terms, in whole or in part, without restriction in connection with a merger, sale of assets, restructuring, or similar transaction.
Force Majeure
Cooked By Conte LLC shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, labor disputes, governmental actions, utility failures, transportation interruptions, or other events beyond reasonable control.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted to reflect the original intent of the parties to the maximum extent permitted by law.
Waiver
The failure of Cooked By Conte LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Entire Agreement
These Terms, together with any incorporated addenda or policies referenced herein (including the SDP / Regional Center Service Addendum), constitute the entire agreement between you and Cooked By Conte LLC regarding the Services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.
